At Eni, we are looking for a Corporate Affairs Officer to join Eni International B.V. in Amsterdam. In this role, you will be responsible for supporting the Head of Corporate Affairs in all activities relating to the Company's corporate secretariat.

Main responsibilities:

 

  • Schedule, prepare and coordinate the Company's participation in shareholder meetings of affiliated companies.
  • Draft proxies, voting instructions and related documentation, and monitor their execution.
  • Support foreign subsidiaries in granting and revoking powers of attorney.
  • Assist with the incorporation, acquisition, merger and liquidation of subsidiaries.
  • Support amendments to the Articles of Association of foreign subsidiaries.
  • Provide specialist support in capital contributions and the liquidation of foreign subsidiaries.
  • Maintain and monitor corporate data for more than 200 legal entities held directly or indirectly by the Company.
  • Monitor the appointment and registration of Directors in foreign subsidiaries in accordance with Eni's corporate governance guidelines.
  • Prepare documentation for the Company's participation in joint ventures and international tenders.
  • Liaise with notaries, Chambers of Commerce and international law firms as required.


Skills and experience required:

 

 

  • Bachelor's degree in Law and a Master's degree (Level 1).
  • Relevant work experience as an assistant or paralegal within a corporate affairs or legal department, or within a law firm or civil law notary firm.
  • Fluent command of English; knowledge of other European languages (Dutch, French, German, Italian or Spanish) is an advantage.
    High level of accuracy in drafting legal documentation in English.
  • Client-oriented and service-minded approach.
  • Ability to work effectively in a team.
    Strong organisational skills and ability to meet deadlines.
  • Knowledge of legal Dutch and legal English is an advantage.
