The Legal team is responsible for all legal, corporate governance and regulatory matters affecting John Wood Group PLC and its subsidiary and joint venture companies globally. Wood's Legal Entity Rationalisation (LER) team need dedicated legal support to assist in the closure and reorganisation of legal entities. We are seeking a highly motivated and organised paralegal to join our legal team to support the LER activities internationally. The successful candidate will have strong attention to detail, excellent organisation skills, and a passion for the delivery of high-quality legal services. The paralegal will play a key role in all LER activities requiring legal support. Key responsibilities
- Appoint, engage and manage external legal counsel and other third-party suppliers in accordance with Wood's policies and procedures, to include conducting diligence, agreeing scopes of work, reviewing terms of engagement, negotiating budgets and seeking approval of budgets.
- Complete due diligence checklists as part of due diligence process and address any legal issues identified.
- Undertake research, provide guidance/advice, and coordinate input from external counsel to identify the steps, legal transactions and legal documentation required to support the closure and reorganisation of legal entities across multiple jurisdictions.
- Prepare initial drafts of all legal documentation and review legal documents prepared by external legal counsel to support the LER process, including but not limited to board and shareholder resolutions, powers of attorney, assignments, and novation agreements.
- Circulate and coordinate execution of LER legal documents and organise for the same to be notarised, legalised and apostilled (where applicable).
- Undertake all necessary filings at Companies House.
- Update Wood's entity management system as appropriate to ensure the timely and accurate recording of information on group entities
- Draft and issue powers of attorney and obtain approvals for same. Liaise and work closely with Commercial, Tax, Finance, People & Organisation, Ethics & Compliance and Supply Chain as required to progress entity closures.

Qualifications:
- Legal, Legal Executive or Paralegal qualification necessary
Job specific experience:
- Experience working in either a professional services firm or in-house legal team
- Experience working within different international legal jurisdictions highly desirable
- Experience of corporate law, corporate restructuring, corporate administration and company secretarial work highly desirable
- Familiarisation with Companies House processes and procedures highly desirable.
- Experience of instructing legal counsel desirable
- Microsoft office, excel and PowerPoint proficient
Knowledge of:
- Demonstrated a commitment to continuous learning and development
