Purpose
This job specification details responsibilities for the role of Assistant Legal Counsel reporting to the Deputy General Counsel.

Primary purpose of role
Provide timely, quality, legal and commercial advice to the company, and to assist the Legal team in providing leadership, direction and management of our legal strategy and actions. 

Major duties
Provide timely and accurate legal advice to various stakeholders, including: Engineering, Procurement, Operations and Maintenance, Business Development, HR, IT, Finance and senior management supporting informed decision making throughout the business.  

Provide sound and pragmatic legal/ contractual solutions to business matters, mitigating commercial risk whilst maintaining business focus.

Review, draft and negotiate a wide variety of commercial contracts including:
  • Non-disclosure agreements, variations, heads of terms, letters of intent;
  • Supply of good/services agreements;
  • Long term site operation and maintenance agreements;
  • Engineering and construction contracts (including NEC, IChemE and LOGIC standard forms);
  • Agreements in relation to supply of energy trading services etc.
 
With direction, to undertake assigned company secretarial duties in a timely and accurate manner.

Maintain accurate and up-to-date legal document retention systems and precedents bank.

Keep up to date with relevant case law and legislative changes affecting the business, disseminating information to colleagues within the legal, procurement and commercial teams as appropriate.  Complete other required competency activities to retain professional competency.

Actively looks for and implement agreed ways to improve systems, processes and services.

Positively present the role of Assistant Legal Counsel to the business and it's customers.
