Overview / Responsibilities

Wood is currently recruiting for a Legal Counsel to work on a 12 month Fixed Term basis. The role would suit a junior lawyer with some experience in corporate reorganisation / restructuring and corporate secretarial / administration work. This role will be based in the UK, preferably Aberdeen.

This role supports the Legal Entity Rationalization (LER) project delivering precise, commercial, timely and cost effective legal advice to the relevant function or area of responsibility on a broad spectrum of matters across locations, business units and service bundles relevant to the LER project.

The role will receive assignments from and be mentored and guided by the Vice President Legal & Corporate Governance and existing LER Legal Counsel. The role holder has the required level of expertise and skill to be able to work independently on a day to day basis, although support is readily available. Complex legal matters will be subject to review. The role can cover specialist areas of law on a multi-jurisdictional basis where significant experience and judgment are needed and requires experience of some or all of the following areas:
  • Corporate reorganisations, corporate restructuring, corporate secretarial, entity management, corporate governance and corporate administrative matters
  • Corporate administration experience including dividends/distributions (cash or in specie), reduction of share capital/share premium, conversion / redesignation of share capital, reduction of statutory reserves by bonus issue of shares, capitalisations in order to increase reserves position and clear liabilities, net settlement agreements, offset agreements, share transfers, share buy-backs, redemption of preference shares, capatalisation of debt, assignment / waiver of loan receivables, strike off, novations, assignments


Skills / Qualifications

Qualifications:

Education and qualification as a lawyer, solicitor, barrister or equivalent qualification and a valid / current law license

Job specific experience:
  • Some post-qualified (license) experience in an in house or private practice environment
  • Good presentation skills, with an ability to present in a concise and clear manner
  • Time management, use of IT systems and tools

Knowledge of:
  • Corporate reorganisations, corporate restructuring, corporate secretarial, entity management, corporate governance and corporate administrative matters.
  • Corporate administration experience including dividends/distributions (cash or in specie), reduction of share capital/share premium, conversion/redesignation of share capital, reduction of statutory reserves by bonus issue of shares, capitalisations in order to increase reserves position and clear liabilities, net settlement agreements, offset agreements, share transfers, share buy-backs, redemption of preference shares, capatalisation of debt, assignment/waiver of loan receivables, strike off, novations, assignments
  • Changing regulatory environment
