The Audit Manager provides objective and independent assurance on the effectiveness of
governance, risk management and control processes in ERC through a structured program of
risk-based audits. The structured program is designed to add value and improve ERC's
operations. It helps ERC accomplish its objectives by undertaking a systematic and disciplined
approach to audit assignments, including:
? Providing independent assessment and advice to the Audit Committee and to ERC
management on governance, risk and control matters. Support ERC management in their
implementation of Enterprise-wide Risk Management.
? Directing the development of an audit universe on a 5 year basis and an annual risk-based
program of internal audit assignments and risk assurance services in the review of the
governance, risk management and control practices as documented in the relevant audit
plan(s), and approved by the ERC Audit Committee, in accordance with relevant
international audit standards (eg. IIA IPPF, CoBit).
? Communicate with ERC Senior Management and the Audit Committee to identify, analyze
and evaluate the risks for each auditable area and to identify priorities and phasing of the
audits over the planning period.
? Develop, manage and maintain a Process and Risk Catalogue defining the inherent and
residual risks across the entities to guide the risk based audit planning.
? Manage the development of 5 year and annual risk based audit plans, to ensure the
priorities of the internal audit activity are consistent with the organization's goals and to
ensure availability of appropriate and sufficient resources to achieve engagement
? Manage performance of the internal audit activity in accordance with international auditing
standards and ERC's internal auditing policies and procedures to ensure that there is "value
added", the agreed actions mitigate the risk, key issues identified are communicated to
executive management through internal audit reports and agreed corrective actions are
followed up to closure.
? Manage and perform the engagement planning for each audit assignment to promote the
achievement of ERC's business objectives and ensure execution in accordance with the
approved audit plan and unplanned audits as appropriate.
? Prepare a detailed annual and summarized quarterly reports to stakeholders, including the
Audit Committee, addressing Audit's opinion on the effectiveness of ERC's governance, risk
and controls, key results from audit and assurance activities, issues arising and the
proposed activity plan for following periods.
? Provide advice on a regular basis to ERC management on the development of ERC's
Policies and Regulations and matters related to its operations, including supporting the
development of plans and procedures for reviewing the effectiveness of the organization's
ERM processes, to promote the Company's business interests and objectives.
? Perform audits as per the audit plan and any other ad-hoc assignments as approved by the

audit recommendations to the Audit Committee for resolution.
? Ensure that audit recommendations agreed by the Executive Management are properly
implemented by ERC's management. Report any overdue corrective audit actions to the
Audit Committee for further action.
? Deliver audits in accordance with the approved plan, within the approved time budget and to
approved audit procedures, and Institute of Internal Auditor's International Professional
? The Internal Audit Manager must confirm to the Board of Directors, at least annually, the
independence of the internal audit activity. If independence or objectivity is impaired then
the impairment must be disclosed to appropriate parties.
? The job holder has regular and routine contact with the Audit Committee and ERC senior
management to plan audits and to report audit results including managing risk-based
? A high-level of functional situational awareness, discretion, diplomacy, transparency and
independence is required.
? Strong leadership skills to ensure all audits are conducted according to plan and in a
professional manner to ensure that Internal Audit remains independent and respected by all
? Strong leadership and communications skills are required to balance the development of
good working relationships with senior management whilst maintaining internal audit's
objectivity and independence.
