Directs, manages and oversees Senior Tax Managers and Tax Managers in various geographic locations on:
Tax Accounting/Reporting: Analysis and preparation of the detailed US GAAP tax accounting, both income statement and balance sheet, under ASC 740 on both a quarterly and annual basis. Responsibilities include direction, review and approval of analysis of uncertain tax positions, valuation allowances, balance sheet classification and presentation, and deferred taxes for all global operations. Review tax provision calculations for material accuracy and communicate to the Tax Reporting group on any relevant issues for consolidation or disclosure. Provide technical input into process as required and insure that the local provision process is consistent with requirements of the Tax Reporting group, Financial Reporting group and/or Internal Audit. Contribute to timely and accurate financial reporting for income taxes in Form 10K, Form 10Q and earnings releases, including effective tax rate as well as current and deferred tax provisions, and disclosure of tax risks. Provide required documentation under ASC 740 to substantiate positions and treatment. Meaningfully contribute to country-by-country reporting. Meet with external auditors regarding tax accounting matters, structures, positions and issues.
Tax Compliance: Effectively oversees the local corporate income tax compliance process for all global operations. Responsibilities include the timely and accurate payment of income taxes, deposits and withholding taxes as well filing corporate income tax returns.
Drilling Contracts: Advise Marketing on key provisions and terms in drilling contracts, including appropriate subsidiary, legal entity structure, intercompany requirements and transactions, tax rate considerations in determining suitable day rate in the contract, tax protection, change in locale and local law requirements.
Planning and Structuring: Work closely with Asst. VP- Tax Planning to develop, implement and maintain appropriate legal entity and local operating company structures as well as risk mitigation measures. Directly involved in local country restructurings and transactions. Give consideration to material transactions, court decisions and rulings, global tax developments as well as tax reform impacting legislation and tax treaties. Advises on key areas including capital structure, cash extraction, rig leasing, transfer pricing, permanent establishment/substance, corporate governance and local content requirements. Pursue proprietary tax rulings as required.
Tax Controversy: Successfully, efficiently and timely manage tax audits, tax disputes, and tax litigation, including any penalties and interest. Pursue early and favorable settlement where possible.
Joint Ventures and National Content: Contribute to the efficient structuring and management of local joint ventures and national content requirements.
Leadership: In line with the company's stated goals of being simple and low cost, identify, prioritize and execute sustainable tax planning and structuring to generate cash tax savings and financial statement benefits.
Non-Income Tax Matters: Contribute to timely management and payment of VAT, GST and other non-income tax obligations. In certain countries, makes supporting contributions to personal income taxes of local employees and rig crews, especially with respect to controversies and litigation.
Internal Controls: Responsible for the timely and full satisfaction of numerous internal controls related to tax accounting for income taxes under US GAAP. Provide required documentation to substantiate reviews.
Communication: Advise Vice President- Tax, Asst. VP- Tax Planning, and Sr. Tax Manager- Tax Reporting on key regional developments, including tax legislation, US GAAP accounting, rig movement, bare boat charters and other intercompany transactions, transfer pricing, cash extraction, tax audits/litigation and local country structures. Advise respective Finance Director/Manager on key corporate tax issues and tax accounting matters. Communicate with Sr. Vice President- Controller and Executive Vice President & Chief Financial Officer often and as needed. Participate in Quarterly SIMS team meetings/reviews. Lead on quarterly tax discussions for each geographic region. Advise Marketing on tax considerations on contracts. Advise Legal on tax issues on contracts, transactions and structures.
Management: Serve as key representative of Tax Department management team. Highly visible to CFO, SVP- Controller, SVP- General Counsel and SVP- Marketing. Effectively manage, direct and oversee a de-centralized team of tax professionals and external tax advisors.
Travel: Periodic international travel is required.
Reporting: Report directly to VP- Tax
Certifications: Certified as a C.P.A., C.A., J.D. or equivalent
Technical: Must possess extensive knowledge of complicated international technical tax knowledge on, but not limited to, transfer pricing, tax treaties, foreign tax credits, U.S. GAAP, ASC 740, FAS 5, APB 23 and effective tax rate.
Experience: Must possess a high level of competency on complicated US GAAP tax provision calculations, ASC 740 and related tax reporting for multi-national companies.
Communication & Leadership: Must be able to confidently lead and direct global team of tax professionals on highly complicated, technical matters in multiple countries. Must clearly and timely communicate with global Tax Department team with diverse backgrounds and multiple locations. Must effectively communicate with Accounting, Treasury, Marketing, Legal and HR teams.
Commercial/Contract Expertise: Must possess extensive knowledge of contracts and commercial transactions (ideally both internal restructuring and mergers/acquisitions.
Representation: Must be able to Representation: Must be able to represent Company with local government officials and external tax advisors
Experience: Requires 12+ years of experience (including several years in a senior management position), and a bachelor's or advanced degree.
