Job Responsibilities

• Work closely and collaboratively with all levels of Chevron's organization in the PRC and abroad to understand the DS&C business and in particular the Oronite additives business in the PRC, their strategies and priorities in order to provide excellent legal support.

• Provide timely, pro-active, comprehensive and quality legal advice to business managers and other personnel in the PRC on a full range of commercial matters, transactions and business activities in the PRC, including business development opportunities and significant transactions and projects. Such advice shall include a comprehensive analysis of legal risks and mitigation plan.

• Draft, review and negotiate successfully in Chevron's favor a variety of commercial agreements for DS&C companies in China, including for procurement, marketing and sales functions, pro-actively ensuring that all commercial arrangements of the DS&C companies in the PRC are properly documented in compliance with Chevron's policies and procedures and PRC laws.

• Provide timely, pro-active, comprehensive and quality legal advice and support on all regulatory matters, including audits and investigations by, and communications with, government authorities.

• Provide pro-active, comprehensive and quality advice in accordance with Chevron's policies and procedures and PRC laws on a broad range of compliance requirements including antitrust, anti-corruption, conflict of interest, corporate governance, employee relations, health, environmental and safety, data privacy and information protection and international trade.

• Regularly train DS&C personnel on Chevron's corporate policies and compliance requirements and changes in applicable PRC laws and regulations to close knowledge gaps as part of a continuing compliance training program.

• Provide pro-active and comprehensive legal support to joint venture operations, including strategies for commercial arrangements, business development, regulatory requirements and contracting.

• Provide quality corporate secretarial support to the DS&C companies in the PRC.

• Provide timely and comprehensive management and support of litigation and investigations affecting the DS&C companies in the PRC, working in coordination with disputes/investigations lawyers in Singapore, the U.S. and/or outside counsels.

• Regular visits (at least twice per month) to the Oronite Ningbo plant to ensure sufficient face to face meeting time to provide the above-mentioned timely, pro-active, comprehensive and quality legal support to the personnel there.

• Select, instruct and manage outside counsel in compliance with Chevron's Outside Counsel Guidelines and processes.

• Such other legal support work as may be notified by the Supervising Counsel to the Corporate Counsel.

Job Requirements

• LL.B in China, passed the PRC bar examinations and an advanced law degree from another civil and common law jurisdiction.

• Minimum of 7 years' working experience in a PRC or international law firm or in-house legal department.

• A highly motivated self-starter and team player capable of working in a fast-paced team environment and collaborating with business clients, other in-house counsels, outside counsel and staff.

• Fluent (written and spoken) in English and Mandarin to conduct business and draft legal documentation for local and international transactions.
