Offshore Logistics Appoints Tom Knudson as New Director

Offshore Logistics, Inc. announced that Tom Knudson has been appointed to its Board of Directors effective June 3, 2004. Mr. Knudson retired from ConocoPhillips on January 1, 2004 after 29 years with that company. He has had a wide-ranging career in the oil business, including serving as Chairman of Conoco Exploration and Production Europe Limited (London) where he was responsible for the company's upstream strategy throughout Europe and the Former Soviet Union. He most recently served as Senior Vice President of Human Resources and Government Affairs. Mr. Knudson is a graduate of the U.S. Naval Academy with a Master's Degree in aerospace engineering. He served as a Naval Aviator during the Vietnam conflict.

In making the announcement, Kenneth M. Jones, Chairman of the Board of Directors stated "We are pleased to welcome Tom to the Board of Offshore Logistics and feel that his extensive background in the management of international operations will bring a high level of knowledge to the Company as we expand our commitments around the world."

Mr. Knudson will replace Howard Wolf on the board who resigned in April when he assumed the role of Chairman of Stewart & Stevenson Services, Inc., a New York Stock Exchange company.
